Welcome to Sheet-Pile LLC (“SheetPile,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of our online platforms, including but not limited to https://www.sheet-pile.app, https://www.sheet-pile.com, and any other site or application owned or operated by SheetPile (collectively, the “Sites”), as well as our configurator tools, contact forms, and any related online or offline services we provide (“Services”). By accessing or using the Sites and Services, you agree to be bound by these Terms. If you do not agree with these Terms, please do not use our Sites or Services.

1. Acceptance of Terms

By accessing or using our Sites and Services, including creating an account, submitting information through our contact form, scheduling deliveries, placing orders, or configuring products via our configurator tools, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy (or the equivalent URL where our Privacy Policy is posted). If you do not agree to these Terms or the Privacy Policy, you may not access or use our Sites or Services.

2. Eligibility

  2. Account Security: You are responsible for maintaining the confidentiality of your login credentials and are fully responsible for all activities that occur under your account. If you suspect unauthorized use of your account, you must notify us immediately at info@sheet-pile.com.
  3. Termination: We reserve the right to suspend or terminate any account if we reasonably believe that you have violated these Terms or engaged in fraudulent, unlawful, or otherwise objectionable activity.

4. Use of Our Sites and Services

  1. Permitted Use: Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to access and use our Sites and Services for legitimate business purposes, including learning about our products, requesting quotes, placing bids, or configuring solutions for sheet piling projects.
  2. Prohibited Conduct: You agree that you will not:
    • Use our Sites or Services in violation of any applicable law or regulation.
    • Engage in harmful, fraudulent, or deceptive practices.
    • Interfere with the security or proper functioning of the Sites, including by uploading or transmitting malicious code.

5. Intellectual Property

  2. Trademarks: “SheetPile,” “iSheetPile,” “PilePro®,” “O-Pile®,” “WADIT®,” and other trademarks, service marks, and logos used on our Sites are the property of their respective owners. Nothing in these Terms grants you any license or right to use these marks without our prior written permission or the permission of the relevant third-party owner.
  3. Feedback: If you submit any suggestions, ideas, or feedback to us about our Sites or Services, we reserve the right to use such submissions without any obligation to you.

6. Product Configurator & Online Tools

  1. Configurator Functionality: Our Sites may include tools (e.g., a steel sheet pile configurator) to help you estimate, compare, or design sheet piling solutions. These tools are provided for informational purposes only.
  2. No Warranty: While we strive to ensure the accuracy and reliability of our tools, we do not guarantee that configurations or estimates generated by these tools will meet your exact project requirements. We strongly recommend consulting qualified engineers or professionals for site-specific advice.
  3. User Input: You are solely responsible for the accuracy and completeness of any data or requirements that you enter into our configurator tools.

7. Orders, Deliveries & Transactions

  1. Placing Orders: By submitting an order (including through our Sites, contact forms, or scheduling forms), you represent that all information provided is accurate and truthful.
  2. Pricing & Availability: All pricing, descriptions, and availability of products are subject to change without notice. We reserve the right to discontinue any product at any time.
  3. Payment & Taxes: Payments must be made in accordance with our instructions. You are responsible for any applicable taxes, duties, or fees imposed by governmental authorities.
  4. Scheduling Deliveries: Any delivery dates or times provided are estimates only. We are not liable for delivery delays due to unforeseen circumstances, including but not limited to natural disasters, transportation disruptions, or acts of third parties.
  5. Order Acceptance: We reserve the right to refuse or cancel any order for any reason, including errors in pricing or product description, inability to fulfill an order, or suspected fraudulent activity.

8. Data Protection & Privacy

10. Limitation of Liability

  1. Indirect Damages: To the fullest extent permitted by law, in no event shall SheetPile or its affiliates be liable for any indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, loss of data, or business interruption, arising out of or in connection with these Terms or your use of the Sites or Services.
  2. Aggregate Liability: To the extent permitted by law, SheetPile’s total liability to you for any claims arising out of or relating to these Terms or the use of the Sites or Services shall not exceed the amount you paid to SheetPile, if any, for the specific product or service giving rise to the claim in the previous six (6) months.

11. Indemnification

You agree to indemnify and hold harmless SheetPile, its subsidiaries, affiliates, officers, employees, agents, and licensors from any claims, actions, liabilities, damages, or expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms, your misuse of the Sites or Services, or your infringement of any intellectual property or other rights of any person or entity.

12. Termination

We reserve the right, in our sole discretion, to suspend or terminate your access to all or part of our Sites or Services at any time and for any reason without prior notice or liability. Provisions of these Terms which by their nature should survive termination shall so survive, including intellectual property, disclaimers, limitations of liability, and indemnification.
